By accessing or using the website biocollexresearch.com (the “Site”), placing an order, or otherwise interacting with Biocollex Research (Biocollex LLC), you agree to be bound by these Terms & Conditions. Please read them carefully. If you do not agree with any provision, you must immediately stop using the Site and refrain from placing any orders.

1. Research Use Only – Important Disclaimer

All products sold by biocollex LLC are strictly for legitimate in-vitro laboratory and scientific research purposes only. They are not intended, labeled, or approved for human consumption, injection, inhalation, animal/veterinary use, diagnostic, therapeutic, food, cosmetic, or any other non-research application. This restriction is absolute and non-negotiable.

Biocollex LLC is not a registered 503a compounding pharmacy or 503b outsourcing facility under the federal food, drug, and cosmetic act. We do not compound, manufacture, dispense, or provide pharmaceutical-grade services for human or veterinary use. Any attempt to use our products in such a manner is a violation of these terms and may result in legal action.

Products may pose significant chemical, biological, or physical hazards if misused, including but not limited to toxicity, irritation, or environmental risks. They have not been evaluated by the u.S. Food and drug administration (FDA) for safety, efficacy, purity, or any other purpose. Biocollex LLC makes no representations or warranties regarding the suitability of products for any specific application.

By placing an order, you represent, warrant, and agree that:

  • You are at least 21 years of age (or the age of majority in your jurisdiction).
  • You are a qualified researcher or an authorized representative of a recognized research institution or laboratory.
  • You possess the necessary expertise, facilities, licenses, and authorizations to safely handle, store, use, and dispose of research chemicals.
  • You will comply with all applicable local, state, federal, and international laws and regulations, including import and export controls.
  • You assume full responsibility and risk for any damages, injuries, or violations resulting from the use, misuse, or handling of the products.
  • You expressly waive, release, and forever discharge BioCollex LLC, its officers, employees, and agents from any and all claims, demands, actions, liabilities, damages, costs, and expenses (including attorneys’ fees) arising out of or related to your possession, handling, storage, use, or misuse of the products, including but not limited to personal injury, property damage, or third-party claims.

Repeat disclaimer for clarity: products are for research use only. No human or veterinary applications. Not FDA evaluated. Not a 503a/503b facility. Buyer assumes all risks.

2. Eligibility and Ordering

BioCollex LLC reserves the right to accept, reject, modify, or cancel any order at any time, for any reason, including suspected misuse or non-compliance with these Terms. Placement of an order confirms the purchase is solely for authorized research purposes.

3. Payments

Payments are processed securely via trusted third-party processors. We do not store complete credit card or banking details. Orders ship only after payment clears.

4. Shipping and Delivery

Same-day shipping for orders placed by 3:00 PM EST (subject to availability). Delivery times vary; we are not liable for carrier delays, customs issues, losses, or external factors. You are responsible for all import/export and local compliance in your jurisdiction.

BioCollex LLC shall not be responsible for, and shall have no obligation to pay, reimburse, or cover any tariffs, customs duties, import/export taxes, brokerage fees, value-added taxes (VAT), governmental charges, or any other similar fees imposed by any governmental authority or shipping carrier.

All such charges are the sole responsibility of the purchaser/recipient. Refusal to pay applicable tariffs, duties, or fees may result in shipment seizure, return, or destruction of the package, for which BioCollex LLC bears no liability. No refunds or reshipments will be issued for shipments delayed, returned, confiscated, or destroyed due to unpaid tariffs, duties, or customs charges.

5. Returns, Refunds, and Exchanges

All sales are final due to the specialized nature of research materials. No returns, refunds, or exchanges except for proven defects, damage, or shipping errors (contact us immediately upon receipt with evidence for review).

6. Limitation of Liability

To the fullest extent permitted by law, BioCollex LLC, its officers, employees, and suppliers shall not be liable for any direct, indirect, incidental, special, consequential, punitive, or exemplary damages (including, but not limited to, loss of profits, data, or use) arising out of or related to the Site, products, or these Terms, even if advised of the possibility of such damages.

In all cases, BioCollex LLC’s total liability to you shall not exceed the amount you paid for the specific product(s) giving rise to the claim.

7. Indemnification

You agree to indemnify, defend, and hold harmless BioCollex LLC, its officers, employees, and agents from and against any and all claims, losses, liabilities, damages, costs, and expenses (including reasonable attorneys’ fees) arising out of or related to:

  • Your use, misuse, or handling of products;
  • Your violation of these Terms;
  • Your violation of any applicable laws or regulations;
  • Any third-party claims arising from your actions or activities;
  • Any allegation that BioCollex LLC is operating as a 503A compounding pharmacy or 503B outsourcing facility, or providing compounded pharmaceuticals.

8. Intellectual Property

All content on the Site, including but not limited to text, graphics, logos, images, and software, is the property of BioCollex LLC or its licensors and is protected by applicable U.S. and international copyright, trademark, and intellectual property laws.

You may not reproduce, modify, distribute, display, or create derivative works from any content without the prior written consent of BioCollex LLC.

9. Termination and Refusal of Service

BioCollex LLC reserves the right to terminate your access to the Site or cancel any order at any time, without notice, for violations of these Terms or for any other reason at its sole discretion.

All provisions that by their nature should survive termination—including, but not limited to, disclaimers, limitation of liability, indemnification, and governing law—shall remain in effect.

10. Modifications to Terms

BioCollex LLC may update or modify these Terms at any time. Changes become effective immediately upon posting to the Site. Your continued use of the Site or placement of orders constitutes your acceptance of the revised Terms.

11. Force Majeure

BioCollex LLC shall not be liable for any failure or delay in performance resulting from causes beyond its reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, labor disputes, government actions, or interruptions in internet or communication services.

12. Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of the State of Maryland, without regard to its conflict-of-laws principles.

Any dispute arising out of or relating to these Terms, the Site, or the products shall be resolved through binding arbitration administered by Alternative Resolutions, LLC, located at 8403 Colesville Rd #1100, Silver Spring, MD 20910, in accordance with applicable Maryland law.
