BY ACCESSING OR USING THE WEBSITE BIOCOLLEXRESEARCH.COM (THE “SITE”), PLACING AN ORDER, PARTICIPATING IN THE AFFILIATE PROGRAM, OR OTHERWISE INTERACTING WITH BIOCOLLEX RESEARCH (BIOCOLLEX LLC), YOU AGREE TO BE FULLY BOUND BY THESE TERMS & CONDITIONS. PLEASE READ THEM CAREFULLY. IF YOU DO NOT AGREE TO ANY PROVISION, YOU MUST IMMEDIATELY CEASE USE OF THE SITE, REFRAIN FROM PLACING ORDERS, AND NOT PARTICIPATE IN THE AFFILIATE PROGRAM.

1. Research Use Only – Important Disclaimer

ALL PRODUCTS SOLD BY BIOCOLLEX LLC ARE STRICTLY FOR LEGITIMATE IN-VITRO LABORATORY AND SCIENTIFIC RESEARCH PURPOSES ONLY. THEY ARE NOT INTENDED, LABELED, OR APPROVED FOR HUMAN CONSUMPTION, INJECTION, INHALATION, ANIMAL/VETERINARY USE, DIAGNOSTIC, THERAPEUTIC, FOOD, COSMETIC, OR ANY OTHER NON-RESEARCH APPLICATION. THIS RESTRICTION IS ABSOLUTE AND NON-NEGOTIABLE.

BIOCOLLEX LLC IS NOT A REGISTERED 503A COMPOUNDING PHARMACY OR 503B OUTSOURCING FACILITY UNDER THE FEDERAL FOOD, DRUG, AND COSMETIC ACT. WE DO NOT COMPOUND, MANUFACTURE, DISPENSE, OR PROVIDE PHARMACEUTICAL-GRADE SERVICES FOR HUMAN OR VETERINARY USE. ANY ATTEMPT TO USE OUR PRODUCTS IN SUCH A MANNER IS A VIOLATION OF THESE TERMS AND MAY RESULT IN LEGAL ACTION.

PRODUCTS MAY POSE SIGNIFICANT CHEMICAL, BIOLOGICAL, OR PHYSICAL HAZARDS IF MISUSED, INCLUDING BUT NOT LIMITED TO TOXICITY, IRRITATION, OR ENVIRONMENTAL RISKS. THEY HAVE NOT BEEN EVALUATED BY THE U.S. FOOD AND DRUG ADMINISTRATION (FDA) FOR SAFETY, EFFICACY, PURITY, OR ANY OTHER PURPOSE. BIOCOLLEX LLC MAKES NO REPRESENTATIONS OR WARRANTIES REGARDING THE SUITABILITY OF PRODUCTS FOR ANY SPECIFIC APPLICATION.

BY PLACING AN ORDER OR PARTICIPATING AS AN AFFILIATE, YOU REPRESENT, WARRANT, AND AGREE THAT:

  • You are at least 21 years of age (or the age of majority in your jurisdiction).
  • You are a qualified researcher or authorized representative of a recognized research institution/laboratory (for purchases).
  • You possess the expertise, facilities, licenses, and authorizations to safely handle, store, use, and dispose of research chemicals.
  • You will comply with all applicable local, state, federal, and international laws, including import/export controls.
  • You assume full responsibility and risk for any damages, injuries, or violations from use, misuse, or handling.
  • You will not promote or imply human/veterinary use in any affiliate promotions.
  • You expressly waive, release, and forever discharge BioCollex LLC, its officers, employees, affiliates, and agents from any and all claims, demands, actions, causes of action, liabilities, damages, costs, and expenses (including attorneys’ fees) arising from or related to your possession, handling, storage, use, or misuse of the products, including but not limited to personal injury, property damage, or third-party claims.

2. Eligibility and Ordering

BioCollex LLC reserves the right to accept, reject, modify, or cancel any order at any time, for any reason, including suspected misuse or non-compliance with these Terms. Placement of an order confirms the purchase is solely for authorized research purposes.

3. Payments

Payments are processed securely via trusted third-party processors. We do not store complete credit card or banking details. Orders ship only after payment clears.

4. Shipping and Delivery

Same-day shipping for orders placed by 3:00 PM EST (subject to availability). Delivery times vary; we are not liable for carrier delays, customs issues, losses, or external factors. You are responsible for all import/export and local compliance in your jurisdiction.

BioCollex LLC shall not be responsible for, and shall have no obligation to pay, reimburse, or cover any tariffs, customs duties, import/export taxes, brokerage fees, value-added taxes (VAT), governmental charges, or any other similar fees imposed by any governmental authority or shipping carrier.

All such charges are the sole responsibility of the purchaser/recipient. Refusal to pay applicable tariffs, duties, or fees may result in shipment seizure, return, or destruction of the package, for which BioCollex LLC bears no liability. No refunds or reshipments will be issued for shipments delayed, returned, confiscated, or destroyed due to unpaid tariffs, duties, or customs charges.

5. Returns, Refunds, and Exchanges

All sales are final due to the specialized nature of research materials. No returns, refunds, or exchanges except for proven defects, damage, or shipping errors (contact us immediately upon receipt with evidence for review).

6. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, BIOCOLLEX LLC, ITS OFFICERS, EMPLOYEES, AFFILIATES, AND SUPPLIERS SHALL NOT BE LIABLE FOR ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES (INCLUDING LOSS OF PROFITS, DATA, OR USE) ARISING FROM THE SITE, PRODUCTS, AFFILIATE PROGRAM, OR THESE TERMS—EVEN IF ADVISED OF SUCH POSSIBILITY.

OUR TOTAL LIABILITY TO YOU SHALL NOT EXCEED THE AMOUNT YOU PAID FOR THE SPECIFIC PRODUCT(S) OR, FOR AFFILIATES, ANY UNPAID COMMISSIONS DUE.

7. Indemnification

You agree to indemnify, defend, and hold harmless BioCollex LLC, its officers, employees, affiliates, and agents from any claims, losses, liabilities, damages, costs, and expenses (including reasonable attorneys’ fees) arising from:

  • Your use, misuse, or handling of products.
  • Your violation of these Terms.
  • Your violation of any laws or regulations.
  • Any third-party claims related to your activities or promotions (including affiliate promotions).
  • Any allegations that BioCollex LLC is operating as a 503A compounding pharmacy or 503B outsourcing facility, or providing compounded pharmaceuticals.

8. Intellectual Property

All Site content (text, graphics, logos, images, software) is owned by BioCollex LLC or its licensors and protected by U.S. and international copyright, trademark, and IP laws. You may not reproduce, modify, distribute, or create derivatives without prior written consent.

Affiliates receive a limited, revocable license to use approved promotional materials solely for participating in the Affiliate Program, provided all promotions comply with research-use-only guidelines.

9. Termination and Refusal of Service

We may terminate your access, cancel orders, or end affiliate participation at any time, without notice, for violations or any reason. Key provisions (disclaimers, liability, indemnification, governing law, etc.) survive termination.

10. Modifications to Terms

We may update these Terms at any time. Changes are effective immediately upon posting. Continued use, orders, or affiliate participation constitutes acceptance.

11. Force Majeure

BioCollex LLC shall not be liable for any failure or delay in performance due to causes beyond our reasonable control, including acts of God, natural disasters, war, terrorism, labor disputes, government actions, or internet disruptions.

12. Governing Law and Jurisdiction

These Terms are governed by the laws of the State of Maryland, without regard to conflict-of-laws principles.

Any dispute arising out of or relating to these Terms, the Site, products, or the Affiliate Program shall be resolved through binding arbitration at Alternative Resolutions, LLC, 8403 Colesville Rd #1100, Silver Spring, MD 20910, under Maryland law.

  1. Affiliate Program

By applying to or participating in the BioCollex LLC Affiliate Program (“Program”), you agree to these terms (in addition to all other Terms above) and the separate Affiliate Agreement that will be provided upon approval. The Program rewards promoters who strictly align with our research-use-only ethos.

13.1 Application and Eligibility

  • Apply via the “Affiliate Program” link on https://www.biocollexresearch.com/ or email info@biocollexresearch.com.
  • Required details: Full name, contact information, primary social media handle(s)/platform(s), and a statement confirming you will promote products solely for legitimate research purposes and comply with all Terms.
  • We review applications within 7-10 business days. Approval is at our sole discretion.
  • You must be at least 21 years old and not affiliated with competing research chemical vendors.

13.2 Commission and Discount Structure

  • Approved affiliates receive a unique, trackable affiliate code or link.
  • Earn a flat ten percent (10%) to fifteen percent (15%) commission on qualifying Net Sales (gross revenue received by BioCollex LLC minus refunds, chargebacks, taxes, shipping, and fees), as determined by BioCollex LLC.
  • Referred customers receive a discount of five percent (5%) to ten percent (10%) off their order, as determined by BioCollex LLC.
  • Commissions apply only to completed, non-refunded, non-fraudulent orders where the code/link was properly used. No commissions on self-referrals, test orders, or misuse.

13.3 Payouts and Tracking

  • No minimum payout threshold—you may request payout of any earned balance at any time.
  • Payouts processed within 2-3 business days via Zelle, mailed check, PayPal, or other method selected by BioCollex LLC.
  • You are responsible for all taxes and providing accurate payment/tax information.
  • Real-time tracking available via your unique code/link and any affiliate dashboard we provide.

13.4 Promotional Guidelines and Restrictions

  • Promote strictly as research-use-only. Under no circumstances may you represent, imply, or suggest products are for human consumption, veterinary use, medical, therapeutic, clinical, or any non-research purpose.
  • All promotions must include clear disclosures that: (1) you may receive commissions, and (2) products are not for human or veterinary use.
  • Use only approved branding/materials and follow any written guidelines we provide.
  • No false/misleading claims, brand bidding in paid ads without approval, self-referrals, or fake traffic.
  • Violations result in immediate termination and potential commission forfeiture.

13.5 Termination and General Terms

  • Either Party may terminate this Agreement with 7 days’ written notice, or immediately for cause (e.g., breach of compliance rules, fraud, regulatory risk, or conduct exposing BioCollex LLC to legal/reputational harm).
  • Upon termination, you must immediately cease all use of the affiliate code, tracking link, and Company branding/materials.
  • Any valid earned commissions accrued prior to termination remain payable, subject to the terms of the signed Affiliate Agreement.
  • You act as an independent contractor and not as an employee, partner, joint venturer, or agent of BioCollex LLC.
  • Full details, including liability allocation, indemnification, confidentiality, intellectual property license, and dispute resolution (binding arbitration), are set forth in the signed Affiliate Agreement, which governs in the event of any conflict with this summary.
